Terms of service
This document constitutes a legally binding agreement between the user (“Buyer,” “Retailer,” or “Client”) and Design Creation, operating under its B2B vertical DC Maker’s Hub (“Company,” “We,” “Us,” or “Our”), governing all access to and use of the platform www.makershub.com (“Website,” “Portal,” or “Platform”) and all transactions executed through it.
By registering, logging in, or placing an order on the Platform, you agree to be bound by these Terms and Conditions and any other policies, guidelines, or annexes referred to herein.
1. DEFINITIONS
For the purpose of this Agreement:
· “Platform” means the online portal www.makershub.com owned and operated by Design Creation.
· “User” / “Buyer” / “Retailer” means any person, company, or business entity accessing the Platform to view, purchase, or place bulk orders for products.
· “Products” means jewelry and accessories listed for sale on the Platform.
· “MOQ” (Minimum Order Quantity) means the minimum quantity requirement for a particular product as displayed on the Platform.
· “Account” means a verified login created by the Buyer to access wholesale prices and order functionalities.
· “Order” means a confirmed purchase placed through the Platform by a verified Buyer.
· “Business Days” means Monday to Saturday, excluding public holidays in India.
2. PLATFORM ACCESS AND ELIGIBILITY
2.1 Access to pricing and order functions on the Platform is strictly restricted to verified business entities such as retailers, wholesalers, and distributors.
2.2 Users must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872.
2.3 Upon registration, Buyers must provide accurate business details including firm name, GST number, address, and valid email. The Company reserves the right to verify or reject any registration request without assigning a reason.
2.4 The Company may, at its sole discretion, suspend or terminate any user account in case of breach of these Terms, suspicious activity, or misrepresentation.
3. PRODUCT INFORMATION
3.1 All Products displayed on the Platform are standardized designs created and owned by Design Creation.
3.2 The Buyer acknowledges that:
· No custom design, private label, or logo customization is available.
· All product dimensions, weights, and finishes are approximate and may vary within industry tolerance.
· Product images and renders are for representation only; minor visual differences may occur in physical production.
3.3 The Company retains the right to discontinue or modify any product listing without prior notice.
4. PRICING AND MOQ POLICY
4.1 Product prices are visible only to verified and approved Buyers upon login.
4.2 All prices are quoted in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes, duties, or shipping charges.
4.3 Each Product carries a Minimum Order Quantity (MOQ) which must be fulfilled for the order to be valid. Orders below the MOQ will not be processed.
4.4 The Company reserves the right to revise prices, MOQs, and applicable charges based on metal rates, market fluctuations, or operational requirements without prior notice.
4.5 In case of typographical or system errors in pricing, the Company may cancel or revise the affected order after notifying the Buyer.
5. ORDER PLACEMENT AND ACCEPTANCE
5.1 Orders can only be placed by verified Buyers through their registered login accounts.
5.2 An order shall be deemed “confirmed” only upon issuance of a formal Order Confirmation Email or Invoice by the Company.
5.3 The Company reserves the right to:
· Reject any order at its discretion.
· Split or consolidate orders based on stock availability.
· Cancel orders where technical errors, payment failure, or policy violations occur.
5.4 Orders once confirmed cannot be cancelled or modified by the Buyer.
6. PAYMENT TERMS
6.1 Payment shall be made in full as per the invoice terms through approved payment channels (Bank Transfer, Razor Pay, or other methods provided on the Platform).
6.2 Orders shall be processed only upon successful receipt of full payment unless otherwise agreed in writing.
6.3 All international transactions shall comply with the applicable Foreign Exchange Management Act (FEMA) and RBI guidelines.
6.4 Any banking, remittance, or currency conversion charges shall be borne solely by the Buyer.
6.5 The Company reserves the right to hold shipment or suspend account access for any payment of discrepancies or defaults.
7. DELIVERY AND RISK OF LOSS
7.1 Estimated dispatch timelines are displayed on each product listing and may vary based on order volume and production schedule.
7.2 Shipping and logistics arrangements shall be made by the Company or through approved third-party carriers.
7.3 The risk of loss or damage to the goods passes to the Buyer upon handover to the carrier.
7.4 The Company shall not be held liable for delays caused by courier partners, customs clearance, force majeure, or unforeseen logistical issues.
7.5 Buyers must inspect all received goods within 3 Business Days of delivery and notify the Company of any discrepancies or damage.
8. RETURNS, REPLACEMENTS, AND CLAIMS
8.1 Products once sold under bulk orders are not eligible for return or refund, except in cases of verified manufacturing defects.
8.2 Claims for replacement must be submitted in writing with supporting images within 7 Business Days of delivery.
8.3 The Company’s liability shall be limited to repairing or replacing defective pieces only after due verification.
8.4 No claim shall be accepted for:
· Color or minor visual variations.
· Transit damages where goods were shipped under the Buyer’s own logistics arrangement.
· Unauthorized modifications or mishandling after delivery.
9. INTELLECTUAL PROPERTY RIGHTS
9.1 All product designs, images, renders, trademarks, logos, text, and digital content on the Platform are the exclusive intellectual property of Design Creation and are protected under applicable laws.
9.2 Buyers are prohibited from copying, reproducing, modifying, or using any design, image, or material from the Platform for commercial use without prior written consent.
9.3 Unauthorized reproduction or imitation of designs shall constitute infringement, entitling the Company to initiate civil and/or criminal proceedings.
10. CONFIDENTIALITY
10.1 Buyers shall not disclose or misuse any confidential information obtained through access to the Platform, including pricing data, product details, or business practices.
10.2 This obligation shall survive the termination of the Buyer’s account.
11. LIMITATION OF LIABILITY
11.1 The Company shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the use of the Platform or any purchase made therefrom.
11.2 Total liability of the Company, whether in contract, tort, or otherwise, shall not exceed the total invoice value of the disputed transaction.
12. INDEMNIFICATION
The Buyer agrees to indemnify, defend, and hold harmless Design Creation, its directors, officers, employees, and affiliates from and against any losses, claims, damages, liabilities, or expenses arising from:
· Breach of these Terms,
· Misuse of the Platform,
· Violation of applicable laws, or
· Infringement of third-party rights.
13. TERMINATION
13.1 The Company reserves the right to terminate or restrict a Buyer’s access to the Platform at any time for breach of Terms, misuse, non-payment, or fraudulent activity.
13.2 Upon termination, all pending dues shall become immediately payable, and all user rights shall be revoked.
14. FORCE MAJEURE
The Company shall not be responsible for any delay or failure in performance due to events beyond its reasonable control, including, but not limited to, natural disasters, strikes, lockdowns, supply disruptions, or governmental restrictions.
15. GOVERNING LAW AND JURISDICTION
15.1 These Terms and all transactions hereunder shall be governed by and construed in accordance with the laws of India.
15.2 Any disputes arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in Surat, Gujarat, India.
16. AMENDMENTS
The Company reserves the right to modify, revise, or update these Terms and Conditions at any time without prior notice. Updated versions will be published on the Platform and shall take effect immediately upon posting.
